Calgary - Manager, Corporate Paralegals

The Manager, Corporate Paralegals will provide visionary and strategic leadership to the Corporate Department within the Firm. As a member of the Calgary management team, the Manager, Corporate Paralegals will have overall accountability for the team of paralegals working within the Corporate Department in Calgary. Reporting to the Co-Head of the Corporate Department, the Manager, Corporate Paralegals will lead the development and implementation of processes and policies to ensure the department is positioned to deliver a best in class service offering to our internal and external clients. The Manager, Corporate Paralegals will manage the resources of the Firm in a cost effective and responsible manner, ensuring profitability goals and service levels are met.

Essential Functions

Leadership

  • Responsible for development and execution of strategies relative to the recruitment, retention, development and performance management of the Corporate paralegals within the Calgary office
  • Responsible for mentoring and managing a team of high-performance, high-output junior, intermediate and senior paralegals
  • Facilitates work allocation across all the Corporate paralegals within the Calgary office, ensuring appropriate development and cross-training
  • Ensures the timely and accurate delivery of work required to meet the service levels of internal and external clients
  • Fosters the achievement of the strategic goals of the Firm by supporting and serving as a resource to the Corporate Department within the Calgary Office
  • Formulates and brings forward to the Co-Head, Corporate Department, action plans relative to the Firm's strategic short and long-range goals, operational and risk mitigation planning

Financial Management

  • Works closely with the Co-Head, Corporate Department, to develop and deliver innovative pricing strategies that drive efficiencies and profitability
  • Designs and deploys efficient processes for work allocation, timekeeping and billing practices for all Corporate paralegals within the Calgary office
  • Administers and reports on metrics relating to the utilization and profitability of the Corporate paralegals within Calgary office
  • Provides reporting and support to the Co-Head, Corporate Department (Calgary)
  • Leads competitive market research to understand pricing models being used by other firms and service providers

Senior Paralegal

  • Prepares documents for public, private and non-profit entities including incorporations, continuance/transitions, organizations, amendments, amalgamations and dissolutions under the Canada Business Corporations Act, Business Corporations Act (Alberta), Part 9 of the Companies Act (Alberta), Societies Act (Alberta) and Not-for-profit Corporations Act (Canada)
  • Prepares and arranges for filing of extra-provincial registrations and update documents as required
  • Prepares documents relating to share transactions including preparation of resolutions, subscriptions, issuance of share certificates, and updates to registers
  • Conducts minute book reviews and prepares necessary documents to bring minute books current
  • Accesses the Corporate Registry Systems (CORES) and completes filings of various corporate documents (Levels I, II & III)
  • Assists with the completion and monitoring of on SEDAR
  • Provides backup assistance for other SEDAR filers
  • Prepares Alberta and Extra-Provincial annual returns, annual resolutions and various notices

Qualifications

  • Post-secondary degree in commerce, public or business administration, related discipline or equivalent combination of education and experience
  • Minimum of ten years related corporate experience required, preferably in a law firm environment
  • Minimum of five years relevant supervisory experience
  • Experience preparing and managing budgets
  • Experience in financial analysis
  • SEDAR and SEDI experience
  • Flexibility to modify work hours to accommodate transactional closings, year-end filings and corporate and SEDAR filings, as necessary
  • CORES Levels I, II and III experience
  • Strong knowledge of Corporate Law and basic accounting principles required
